AMD agrees to provide the Employee and/or third parties designated on behalf of the Employee with certain expenses related to the Employee`s relocation in connection with the Employee`s AMD employment («Relocation Expenses»). Moving expenses include only expenses approved and described in the attached relocation policies, as well as other expenses related to an employee`s relocation that have been pre-approved in writing by an AMD Vice President. The cost of relocating the employee is estimated at $263,184.00. Actual relocation costs may be higher or lower, and the terms of this Agreement apply only to the amount actually incurred or paid to the employee. The Employee understands that he has the right to discuss this Agreement with any person and that he has made use of this opportunity to the extent desired. The employee further acknowledges that he or she has carefully and fully understood the terms of this Agreement and that he or she voluntarily enters into it without coercion or pressure from AMD. The Employee also understands and acknowledges that this Agreement is the entire agreement between the Employee and AMD with respect to this matter, and the Employee acknowledges that AMD has not made any other representation, promise or obligation of any kind (written or oral) to induce the Employee to accept the terms of this Agreement. AMD agrees to cancel any refund to which AMD is entitled under this Agreement if AMD terminates the employee`s employment relationship as a result of a reduction in the claim at the enterprise or department level.

AMD may also, in its sole discretion, waive any refund to which AMD is entitled under this Agreement in exceptional or unavoidable circumstances. The parties agree that AMD`s voluntary termination of the Employee`s employment or termination of the Employee`s employment for any reason other than that set forth in this Section 2(b) shall not be a condition requiring the delivery of any refund due to amD under this Agreement. The employee agrees that any refund due to AMD under this Agreement may, to the extent permitted by law, be deducted from amounts due to the AMD employee at the time of termination of employment, including wages, accrued vacation pay, performance pay, bonuses and commissions, and expressly approves such deductions. If the employee`s employment with AMD ends less than 13 full months after the effective date of hiring or transferring the employee, the employee agrees to reimburse one hundred percent (100%) of the relocation costs paid by AMD. If an employee`s employment with AMD ends at least 13 full months after the effective date of hiring or transferring the employee, but less than 24 full months after the effective date of the employee`s hiring or transfer, the employee agrees to reimburse the full amount of relocation expenses paid by AMD, minus eight percentage points (8.33%) for each full month of employment, completed after the twelfth month of employment. The Employee agrees that the reimbursement obligations under this Agreement will not be reduced by the conclusion of partial months of employment. The employee further agrees that the employee will reimburse the moving expenses no later than the effective date of termination of the employment relationship and that the outstanding balance of this repayment obligation is outstanding and recovered immediately on the day following the effective date of termination. The parties agree that if any provision of this Agreement is held by a court to be illegal, invalid or unenforceable, the remainder of the Agreement will nevertheless remain binding and enforceable and the illegal, invalid or unenforceable provisions will be modified only to the extent necessary to comply with applicable law.
